Technology Licensing: R&D Partnerships
TCG has significant experience in both in-licensing and out-licensing advanced patented technologies. Recently, we assisted a client in acquiring a license to a US patent covering specific software required for the client’s medical device. We have also out-licensed technology for a number of clients, and in these assignments TCG has been responsible for identifying potential licensees as well as negotiating the terms of the license agreement.
Licensing agreements always begin with high expectations – the licensor expects the licensee to be successful, and to pay significant royalties on sales. While the license agreement must be carefully structured to include a fair payment for the value of the technology, other aspects of the agreement are equally important. For licensors, there must be a mechanism whereby the technology can be returned if the licensee does not meet minimum expectations. For the licensee, there must be guarantees that the owner of the patent will maintain the patent and defend against infringement.
